Notice Regarding the Results of SPD Japan's 1st General Meeting of Shareholders

Establishing a foundation for future business expansion through the development of the organizational structure and a partial amendment of the articles of incorporation

SPD Japan K.K. (Representative Director: Yoshikatsu Kitano, CHENYU; headquarters: Minato-ku, Tokyo; hereinafter "SPD Japan"), which aims to develop a Japanese yen stablecoin and build Web3 financial infrastructure, held its 1st General Meeting of Shareholders on September 24, 2025, approved several major proposals, and made important decisions on its future business operations and on strengthening its organizational structure.

Main Resolutions of SPD Japan's 1st General Meeting of Shareholders

Establishing the Business Operating Structure

  • Strengthened functions such as accounting, finance, legal, technology, and public relations, and began collaborating with specialist partners.
  • Promoted a clearer risk management and compliance framework, both within and outside the company.

Confirming the Capital Structure and Approving the Registration Procedures

  • The initial installment of paid-in capital has been paid in full.
  • The shareholder composition and the Board of Directors structure were formally approved.

Future Policy

Building on the structure confirmed at this General Meeting of Shareholders, SPD Japan will conduct its business around the following 3 priority themes.

  • Advancing license applications — Establishing an operating model that emphasizes legal compliance and transparency
  • Building Web3 financial infrastructure — Using blockchain technology to develop an internal operating model for a stablecoin linked to the Japanese yen
  • Strengthening collaboration with partners in Japan and overseas — Working with technology and financial partners in Japan and the Asia region to build steady payment infrastructure
